Company Secretary (1/2 DAY)

My client, a well-established concern in the agricultural industry is seeking to employ a half-day Company Secretary to ensure that thorough governance is being exercised. The ideal candidate must have a minimum of five years in a similar role and a BComm or BA LLB degree


  • Prepare agenda's, meeting packs and minutes for various companies within the Group and distribute within the deadlines
  • Ensure that minutes of meetings are properly recorded, approved and circulated in a timely manner
  • Ensure directors decisions are properly recorded and that action items are circulated to the responsible persons after every meeting
  • Facilitating internal meetings with management and directors.
  • Provide guidance to the various meetings regarding governance matters, including adherence to Memorandums of incorporation, policies, charters and approval frameworks
  • Ensure compliance with the Companies Act and other related legislation
  • Maintaining all statutory records
  • Liaise with external lawyers regarding legal issues
  • Updating of Legal documentation, e.g. Sales contracts, Terms and Conditions etc
  • Providing historical reference by developing and utilizing filing and retrieval systems
  • Manage and facilitate BBBEE requirements for various companies within the Group


  • BA LLB / BCom Law Degree is non-negotiable
  • Minimum of five years working experience in a similar role
  • Efficient minute taking
  • Working knowledge of a document management system
  • Good understanding of corporate governance developments and the Company Act
  • Excellent written and verbal communication skills
  • Ability to communicate effectively with a wide variety of stakeholders
  • Ability to take initiative and work independently when necessary
  • Strong organisational skills
  • Must be detail and deadline orientated
  • Ability to keep information confidential at all times
